{"name": "Cape Partners \u2014 Non-Disclosure Agreement", "text": "NON-DISCLOSURE AGREEMENT\n\nThis Non-Disclosure Agreement (the \"Agreement\") is entered into as of the date of electronic signature below (the \"Effective Date\") by and between:\n\nCape Partners SARL, a company organized under the laws of France (hereinafter \"Cape Partners\" or the \"Disclosing Party\"),\n\nAND\n\nThe company represented by the undersigned signatory (hereinafter the \"Receiving Party\").\n\nWHEREAS, Cape Partners maintains confidential information relating to merger and acquisition opportunities, including but not limited to company profiles, financial data, strategic analyses, and investment teasers (collectively, \"Confidential Information\");\n\nWhereas the Receiving Party wishes to review such Confidential Information for the purpose of evaluating potential acquisition or investment opportunities;\n\nNOW, THEREFORE, the parties agree as follows:\n\n1. CONFIDENTIAL INFORMATION. The Receiving Party shall keep confidential all Confidential Information disclosed by Cape Partners.\n\n2. NON-USE. The Receiving Party shall not use the Confidential Information for any purpose other than evaluating the opportunity.\n\n3. NON-DISCLOSURE. The Receiving Party shall not disclose Confidential Information to any third party without the prior written consent of Cape Partners.\n\n4. RETURN OR DESTRUCTION. Upon request, the Receiving Party shall return or destroy all Confidential Information.\n\n5. TERM. This Agreement shall remain in effect for a period of two (2) years from the Effective Date.\n\n6. GOVERNING LAW.
